Acceptable Use Policy
ACCEPTABLE USE POLICY
This Acceptable Use Policy (the “AUP”) sets out the rules governing access to and use of the Services by any User.
By accessing or using the Services, you (“User” or “you”) acknowledge and agree that you are using the Services either (i) as the Client acting in your own name and on your own behalf, or (ii) as an authorized User acting on behalf of the Client, and that your use of the Services is subject to this AUP.
This AUP forms an integral part of the Agreement and is incorporated by reference into the contractual framework governing the Services.
Capitalized terms used but not defined in this AUP shall have the meaning given to them in the General Terms and Conditions.
- SCOPE AND ROLE OF THE USER
- Scope
This AUP applies to all access to and use of the Services by the Client and its Users.
In the event of any conflict between this AUP and the Agreement with respect to acceptable use or usage restrictions, this AUP shall prevail solely with respect to acceptable use and usage restrictions, and the Agreement shall prevail in all other respects.
- User Warranties
You represent and warrant that:
- you are either the Client acting in your own name, or duly authorized by the Client to access and use the Services;
- you act within the scope of your professional duties and for professional purposes only; and
- you comply with any applicable internal policies of the Client (where applicable) and with your professional obligations, including those relating to confidentiality, data protection, information security and the use of AI tools.
- Client Responsibility
Where the Client subscribes to the Services for its Users, the Client remains fully responsible vis-à-vis AIDOCS STUDIO for compliance with this AUP by its Users.
Where the Client is an individual acting in its own name, the Client remains responsible for its own compliance with this AUP.
Any breach of this AUP may result in enforcement measures affecting the User’s access and/or the Client’s access to the Services, in accordance with the Agreement and applicable law.
- DESCRIPTION AND PURPOSE OF THE SERVICES
The Services consist of an AI-assisted, request-based service designed to support legal and contracting professionals in the drafting and textual analysis of legal and contractual documents and related content, including the generation, review, reformulation, comparison and adaptation of such content.
Through the Services, Users may submit Requests and receive Outputs in response to such Requests.
The Services are provided as an assistance and productivity tool only. Outputs are intended to support human professional judgment and do not constitute legal advice, legal opinions, or any other form of personalized professional advice provided by AIDOCS STUDIO. The Services do not replace human review, analysis, decision-making or validation.
AIDOCS STUDIO does not guarantee the accuracy, completeness, relevance or suitability of any Output for a specific purpose. Users remain solely responsible for reviewing, validating and adapting Outputs prior to any use, reliance, communication, execution or publication.
For the avoidance of doubt, nothing in this AUP or in the provision of the Services shall be construed as creating any contractual, professional or fiduciary relationship between AIDOCS STUDIO and the Client’s own clients.
- ACCEPTABLE USE
You may access and use the Services solely:
- for professional purposes;
- in accordance with the Agreement, this AUP and the applicable Documentation; and
- in compliance with all applicable laws and regulations.
You shall ensure that all Requests and other information submitted through the Services are lawful, relevant to the intended professional use of the Services, and do not infringe any applicable law, regulation, or third-party rights.
You shall use the Services in a reasonable and responsible manner, consistent with their intended purpose as an AI-assisted support tool, and shall not use the Services in a manner that could reasonably be expected to harm AIDOCS STUDIO, the Client, other users of the Services, or the integrity, security or lawful operation of the Services.
Where applicable, the Services shall be used in accordance with laws and regulations governing artificial intelligence, including Regulation (EU) 2024/1689 (Artificial Intelligence Act).
- PROHIBITED USES
The Services are designed to support the Client’s professional legal activities.
Accordingly, and subject to compliance with the Agreement, this AUP and the Documentation, the Client and its Users are expressly authorized to use the Services and the Outputs, after appropriate human review, validation and adaptation, in the course of their ordinary professional legal practice, including for the drafting, review, negotiation and delivery of contracts and other legal documents to the Client’s own clients. Such authorized use constitutes an essential and intended use of the Services.
Except as expressly permitted under the Agreement or authorized in writing by AIDOCS STUDIO, you shall not, directly or indirectly:
- use the Services, the Outputs, or any part thereof to develop, train, fine-tune, or provide to third parties any automated product or service that competes with or substitutes the Services as such, including any artificial intelligence or machine-learning models, systems or datasets;
- rent, lease, lend, sell, sublicense, assign, transfer, time-share, distribute, or otherwise make the Services available to any third party, whether for consideration or free of charge, except as expressly permitted under the Agreement and authorized by the Client;
- reproduce, display, distribute, publish or otherwise disseminate all or any part of the Services, the Documentation, or any non-public information relating to the Services, except to the extent strictly necessary for the Client’s authorized internal professional use;
- modify, adapt, translate, or create derivative works of the Services or the Documentation, or otherwise attempt to alter the intended operation, limitations or safeguards of the Services, except as expressly permitted in writing by AIDOCS STUDIO;
- decompile, disassemble, reverse engineer, or otherwise attempt to derive or access the source code, system prompts, model parameters, training data, or other non-public technical components of the Services, except to the extent expressly permitted by applicable law;
- circumvent, disable, interfere with, or otherwise bypass any security, access control, usage limitation, watermarking, logging, monitoring or identification mechanisms implemented in connection with the Services, or disclose credentials, access tokens or authentication information to unauthorized third parties;
- attempt to gain unauthorized access to the infrastructure, systems or environments used to provide the Services, to other customers’ data, or to any non-public areas of the Services, including through vulnerability scanning, penetration testing, scraping or similar activities without AIDOCS STUDIO’s prior written consent;
- use the Services in any excessive, automated, systematic or otherwise abnormal manner, including through scripts, bots, unauthorized APIs or similar processes, or in any way that circumvents the intended use, subscription scope, technical safeguards or usage limitations of the Services, or that disrupts, degrades or materially interferes with the availability, integrity, performance, security or lawful operation of the Services;
- submit, upload or otherwise provide to the Services any content or data that you do not have the right to use or share, or that violates applicable law, regulation, or third-party rights, including third-party confidential information or personal data, except as expressly permitted under the Agreement and applicable data protection documentation;
- present Outputs as human-authored without appropriate disclosure where such disclosure is required, or present Outputs as personalized legal, strategic, business or communication advice provided by AIDOCS STUDIO, or rely on Outputs without appropriate human review, validation and adaptation.
For the avoidance of doubt, nothing in this Section 4 restricts the Client’s or its Users’ ability to use the Outputs, following appropriate human review and validation, in the course of their professional legal activities or to provide legal services to their own clients.
You must comply with the restrictions set out in this Section at all times when accessing or using the Services.
If you access or use the Services on behalf of the Client, you acknowledge that any violation of this Section may result in enforcement measures affecting your access and/or the Client’s access to the Services, in accordance with the Agreement and applicable law.
- AI-SPECIFIC USE CONDITIONS
- Assistance Tool and Human Review
The Services rely on automated artificial intelligence technologies and are provided solely as an assistance and productivity tool.
Outputs are intended to support human professional judgment only and do not constitute legal advice, legal opinions, legal representation or any other form of legal or personalized professional advice provided by AIDOCS STUDIO. AIDOCS STUDIO is not a law firm, is not admitted to practice law in any jurisdiction, and does not provide services reserved to regulated legal professionals.
Users remain solely responsible for reviewing, validating, adapting and, where appropriate, supplementing all Outputs prior to any use, communication, delivery, execution or reliance in a legal, contractual or operational context. Where appropriate, Outputs must be reviewed by qualified professionals having the requisite expertise and admission rights in the relevant jurisdiction(s) and practice area(s).
Users acknowledge that Outputs may be inaccurate, incomplete, non-exhaustive, misleading, outdated, contextually inappropriate or affected by bias, and may not reflect all laws, regulations, case law, market practice, professional rules or other legal requirements applicable to a given matter, jurisdiction or factual situation. In particular, the Services are not designed to ensure that Outputs reflect all legal or regulatory requirements applicable anywhere in the world or under any law chosen by the Client, its Users or their counterparties.
Nothing in this AUP prevents the Client or its Users from using Outputs, following appropriate human review and validation, in the course of their professional legal activities or for the provision of legal services to their own clients.
- Input Restrictions and Responsibility
You shall ensure that all information, data or content submitted through the Services (“Inputs”) is lawful and that you have the right to use and submit such Inputs.
You shall not submit Inputs that violate applicable law, regulation or third-party rights, including confidential information or personal data, except as expressly permitted under the Agreement and the applicable Data Processing Agreement.
You acknowledge that the quality, relevance and reliability of Outputs may be affected by the nature, structure and completeness of the Inputs provided.
- Non-Uniqueness of Outputs
You acknowledge that, due to the nature of AI-based technologies, Outputs generated through the Services may not be unique and that similar or identical Outputs may be independently generated for the Client or for other customers in response to similar Requests.
You further acknowledge that Outputs may reflect, incorporate or be generated using Generic Elements and that the existence, generation or use of similar or identical Outputs for other customers shall not, in itself, imply any reuse, disclosure or sharing of the Client’s specific Inputs, Outputs, Confidential Information or personal data.
For the avoidance of doubt, AIDOCS STUDIO does not intentionally reuse, disclose or make available the Client’s specific Inputs or Outputs to third parties, except as permitted under the Agreement and applicable data protection documentation. This shall not restrict AIDOCS STUDIO’s right to use, reuse or exploit Generic Elements in accordance with the Agreement, provided that no Client-specific content, Confidential Information or personal data is disclosed except as permitted under the Agreement and applicable law.
- Proper Submission of Requests
Users are responsible for ensuring that each Request is:
- sent from an email address that has been declared and authorized during onboarding;
- addressed to the submission email address communicated in the Onboarding Email; and
- prepared and transmitted in strict accordance with the submission requirements and usage instructions set out in the Onboarding Email, including any applicable subject line format and attachment limitations.
Users shall also take all reasonable steps to ensure that emails sent to or received from AIDOCS STUDIO in connection with the Services are not filtered, blocked, quarantined or routed to junk or spam folders, including by applying appropriate whitelisting measures where necessary.
AIDOCS STUDIO shall not be responsible for any failure to process a Request or deliver an Output resulting from non-compliance with this Section.
- No Training or Model Improvement by Users
You shall not use the Services or the Outputs for the purpose of training, fine-tuning, validating or improving any artificial intelligence or machine-learning models or systems, except as expressly permitted under the Agreement.
- ACCOUNT SECURITY
- Access Credentials
Access to the Services is provided through individual authentication credentials.
You shall keep your credentials strictly confidential, take all reasonable measures to prevent any unauthorized access or use, and shall not disclose your credentials to any third party.
- Authorized Use of Credentials
You shall ensure that the Services are accessed solely by authorized Users within the scope of the access rights granted by the Client.
You shall not allow any other person to access or use the Services using your credentials.
- Client Management of Access Rights
You acknowledge that the Client remains responsible for managing access rights within its organization, including the onboarding and offboarding of Users and the allocation of appropriate permissions.
You shall access and use the Services strictly in accordance with the access rights granted to you by the Client and the Client’s internal policies.
- Incident Reporting
You shall promptly notify the Client, and where applicable AIDOCS STUDIO through the channels designated by the Client or AIDOCS STUDIO, of any actual or suspected loss, compromise, or unauthorized use of your credentials, or of any security incident affecting the Services that you become aware of.
- Consequences of Non-Compliance
AIDOCS STUDIO shall not be liable for any consequences resulting from your failure to comply with this Section, including any unauthorized access or use of the Services attributable to your acts or omissions.
- MONITORING AND ENFORCEMENT
AIDOCS STUDIO may monitor the use of the Services to the extent reasonably necessary to:
- ensure the security and integrity of the Services;
- prevent fraud, abuse or misuse;
- comply with applicable legal or regulatory obligations; and
- enforce this AUP and the Agreement.
Such monitoring shall be carried out in accordance with applicable law and AIDOCS STUDIO’s data protection obligations and shall not include the systematic review of the substantive content of Requests or Outputs beyond what is technically necessary for the foregoing purposes.
In the event of an actual or suspected violation of this AUP, AIDOCS STUDIO may take proportionate enforcement measures, which may include restricting, suspending or terminating access to the Services, in accordance with the Agreement (including the Suspension and Termination provisions) and applicable law.
Where reasonably practicable, AIDOCS STUDIO shall use reasonable efforts to inform the Client prior to implementing enforcement measures affecting the Client’s access to the Services, except where immediate action is required to protect the Services, AIDOCS STUDIO, the Client, or third parties.
- CHANGES TO THIS AUP
AIDOCS STUDIO may update this AUP from time to time to reflect changes to the Services, applicable law or regulatory requirements, or AIDOCS STUDIO’s legitimate business needs.
Any updated version of this AUP shall apply to future use of the Services as of its effective date. AIDOCS STUDIO shall make updated versions available to the Client through reasonable means.
Continued use of the Services following the effective date of an updated AUP constitutes acceptance of the updated AUP, subject to the terms of the Agreement.
